PUBLIC CONTRACT (OFFER)
for ordering, buying and selling and delivery of goods
This contract is an official and public offer of the Seller to conclude a contract for the sale and purchase of Goods presented on the website vuzollvirtualassistant.com. This contract is public, that is, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur) without giving preference to one buyer over another. By concluding this Agreement, the buyer fully accepts the terms and procedure for placing an order, paying for goods, delivering goods, returning goods, liability for dishonest ordering and all other terms of the contract. The contract is considered concluded from the moment of clicking the "Confirm Order" button on the order page in the "Cart" section and receiving confirmation of the order from the Seller in electronic form.
1. Definition of terms
- Public offer (hereinafter - "Offer") - a public offer of the Seller, addressed to an indefinite number of persons, to conclude with the Seller a contract for the sale and purchase of goods remotely (hereinafter - "Contract") on the terms contained in this Offer.
- Goods or Services - the object of the parties' transaction, which was selected by the Buyer on the website of the Online store and placed in the cart, or already purchased by the Buyer from the Seller remotely.
- Online store - the Seller's website at www.vuzollvirtualassistant.com, created for concluding retail and wholesale purchase and sale contracts based on the Buyer's acquaintance with the Seller's proposed description of the Goods using the Internet network.
- Buyer - a capable individual who has reached the age of 18, receives information from the Seller, places an order for the purchase of goods presented on the website of the Online store for purposes not related to business activities, or a legal entity or individual entrepreneur.
- Seller - Limited Liability Company "VUZOLL VIRTUAL ASSISTANT" (identification code 45876048), a legal entity created and operating in accordance with the current legislation of Ukraine, whose location: Ukraine, 01042, Kyiv, Saperne pole street, building 3, office 346.
2. Subject of the Contract
- The Seller undertakes to transfer the Goods to the ownership of the Buyer, and the Buyer undertakes to pay and accept the Goods on the terms of this Contract.
- The date of conclusion of the Contract-offer (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Contract is considered the date of filling out the order form by the Buyer, located on the website of the Online store, provided that the Buyer receives confirmation of the order from the Seller in electronic form. If necessary, at the request of the Buyer, the Contract may be drawn up in writing.
3. Order Processing
- The Buyer independently places an order in the Online store through the "Cart" form, or by making an order by email or by phone number specified in the contacts section of the Online store.
- The Seller has the right to refuse to transfer the order to the Buyer in case the information specified by the Buyer when placing the order is incomplete or raises suspicion about its validity.
- When placing an order on the website of the Online store, the Buyer undertakes to provide the following mandatory information necessary for the Seller to fulfill the order:
- 3.3.1. Surname, name of the Buyer;
- 3.3.2. Address where the Goods should be delivered (if delivery to the Buyer's address);
- 3.3.3. Contact phone;
- 3.3.4. Identification code for legal entity or individual entrepreneur.
- The name, quantity, article, price of the Goods selected by the Buyer are indicated in the Buyer's cart on the website of the Online store.
- If any of the Contracting Parties needs additional information, it may request it from the other Party. In case of non-provision of necessary information by the Buyer, the Seller is not responsible for providing quality service when purchasing goods.
- When placing an order through the Seller's operator (clause 3.1. of this Offer), the Buyer undertakes to provide information specified in clauses 3.3–3.4 of this Offer.
- Acceptance of the terms of this Offer is carried out by the Buyer entering the relevant data into the registration form on the website of the Online store or when placing an Order through the operator. After placing the Order, the Buyer's data is entered into the Seller's database.
- The Buyer is responsible for the accuracy of the provided information.
- By concluding the Contract, that is, accepting the terms of this proposal, the Buyer confirms the following:
- а) The Buyer is fully familiar with the terms of the proposal (offer) and agrees with them;
- б) The Buyer gives consent to the collection, processing and transfer of personal data. This consent is valid for the entire duration of the Contract and unlimitedly after its completion. The Buyer also confirms that he is informed about the rights under the Law of Ukraine "On Personal Data Protection", the purposes of data collection and the transfer of his personal data to the Seller for the fulfillment of the terms of the Contract, mutual settlements and receipt of necessary documents.
4. Price and Delivery of Goods
- Prices: Prices for Goods and services are determined by the Seller independently and are indicated on the website of the Online store in hryvnias including VAT.
- Price changes: Prices may be changed by the Seller unilaterally depending on market conditions. However, the price of a unit of Goods paid by the Buyer in full cannot be changed.
- Delivery: The cost of the Goods specified on the website does not include the cost of delivery, which is paid by the Buyer at the current rates of delivery services (carriers), chosen by him directly.
- The cost of delivery to the Buyer's address is also not included in the cost of the Goods.
- The Seller may provide an approximate delivery cost upon request of the Buyer (by email or when placing an order through the operator).
- The Buyer's obligations to pay for the Goods are considered fulfilled from the moment the funds are received in the Seller's account.
- Settlements between the Seller and the Buyer are carried out by the methods specified in the "Payment and Delivery" section on the website.
- When receiving the goods, the Buyer (or his representative) must check the compliance of the Goods by quality and quantitative characteristics (name, quantity, completeness, shelf life) in the presence of a delivery service representative.
- Signing the goods receipt, order or waybill confirms that the Buyer has no claims regarding the quantity, appearance or completeness of the goods.
- The right of ownership and the risk of loss or damage to the Goods passes to the Buyer or his Representative from the moment of receipt of the Goods at the place of delivery or during the transfer of goods to the delivery service.
5. Rights and obligations of the Parties
5.1. Seller's obligations
- Transfer the Goods to the Buyer in accordance with the terms of this Contract and the order.
- Not to disclose the Buyer's private information and not to provide access to it to third parties, except in cases provided by law or necessary for the fulfillment of the Order.
5.2. Seller's rights
- Change the terms of this Contract, as well as prices for Goods and services unilaterally, placing them on the website of the Online store. Changes take effect from the moment of publication.
5.3. Buyer's obligations
- Familiarize yourself with the terms of the Contract and prices offered by the Seller before concluding the Contract.
- Provide all necessary data that identifies him as a Buyer and ensures delivery of the ordered Goods.
6. Return of Goods
- The Buyer has the right to return non-food goods of proper quality if they do not satisfy in form, dimensions, style, color, size or for other reasons cannot be used for their intended purpose. Return is possible within 14 days (not counting the day of purchase) provided that the Goods have not been used and their commercial appearance, consumer properties, packaging, seals, labels are preserved, as well as the presence of a settlement document.
- Refund of the goods cost is carried out within 30 calendar days from the moment the Goods are received by the Seller, provided that the requirements of clause 6.1 are met.
- The cost of the Goods is returned by bank transfer to the Buyer's account.
- Return of the Goods to the Seller's address is carried out at the Buyer's expense, and the Seller does not reimburse these costs.
- In case of detection of defects in the Goods during the warranty period, the Buyer has the right to present claims to the Seller in accordance with the Law of Ukraine "On Consumer Rights Protection". When demanding free elimination of defects, the period of their elimination is calculated from the date of receipt of the Goods by the Seller.
- Consideration of claims under the Law of Ukraine "On Consumer Rights Protection" is carried out when the Buyer provides the necessary documents. The Seller is not responsible for defects in the Goods that arose after its transfer to the Buyer due to improper use, storage, actions of third parties or force majeure.
- The Buyer does not have the right to refuse the Goods that have individually defined properties (for example, non-standard dimensions, characteristics, appearance, equipment), if the Goods can be used exclusively by him.
- Return of the Goods is carried out at the address specified in the "Contacts" section on the website.
7. Responsibility
- The Seller is not responsible for damage caused to the Buyer or third parties due to improper installation, use or storage of the Goods.
- The Seller is not responsible for untimely fulfillment of Orders and obligations in case of providing false or incorrect information by the Buyer.
- Both Parties are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Contract.
- The Seller or the Buyer are released from responsibility for non-fulfillment of obligations if this is related to force majeure circumstances (war, military operations, earthquake, flood, fire, etc.). The party that cannot fulfill its obligations must immediately notify the other party.
8. Confidentiality and personal data protection
- By providing their personal data during registration or placing an Order, the Buyer gives the Seller voluntary consent to their processing, use (including transfer) and other actions provided for by the Law of Ukraine "On Personal Data Protection", without limiting the validity period of such consent.
- The Seller undertakes not to disclose information received from the Buyer, except in cases provided by law or necessary for fulfilling obligations to the Buyer.
- The Buyer is responsible for maintaining the relevance of their personal data; the Seller is not responsible for non-fulfillment of obligations in case of their inconsistency or obsolescence.
9. Other conditions
- This contract is concluded on the territory of Ukraine and operates in accordance with the current legislation of Ukraine.
- All disputes between the Buyer and the Seller are resolved through negotiations. If the resolution of a controversial issue is not achieved, any of the Parties has the right to apply to the judicial authorities in accordance with the current legislation of Ukraine.
- The Seller has the right to make changes to this Contract unilaterally, as specified in clause 5.2.1. Changes can be made and by mutual agreement of the Parties in accordance with the current legislation of Ukraine.
